At the private sector level, relations between the Kuwaiti commercial agent and the foreign client are subject to two basic legislations, namely:
Kuwaiti Trade Law issued in accordance with Decree No. 68 of 1980 (the Trade Law) which deals with the general legal relationship between the commercial agent and the principal and Law No. 13 of 2016 (the Commercial Agencies Law) which stipulates the basic requirements for a client as a commercial agent in Kuwait, which outlines the procedures to be followed to register a commercial agency.
Many foreign companies seek to advance their business inside Kuwait through commercial agents or distributors. The laws referred to above have been developed to provide for local legal entities that have relationships with foreign clients.
In fact, the application of other local laws, including tax and trademark issues, may affect the foreign client wishing to conduct his commercial activity in Kuwait, and the group has the required legal expertise to provide advice to the appointed clients for all specific matters and our procedures in this field include preparing the necessary draft and negotiating the arrangements required from the two parties concerning agency / distribution contracts, to achieve the balance with the benefits provided by Kuwaiti laws to protect local companies with an emphasis on arranging or supporting minimum tax arrangements as a result of completed transactions, in addition to taking the necessary steps to protect the commercial currencies of foreign clients.
In addition to the above, and since the early nineties, franchising rights have become very required in Kuwait, and although local laws are still in the stage of development in order to meet international requirements to protect these rights, we can provide scientific advice to structure franchising relationships based on the currently in force law, and there is currently no specific legislation on concession rights agreements in Kuwait. Instead, the aforementioned arrangements have been interpreted in addition to any commercial contracts within the general framework of civil law and Kuwaiti commercial law so that the two parties concerned can agree as they wish in accordance with the legal concept in Kuwait. Concession agreements are adapted as agency agreements according to the purposes of Kuwaiti law, but the current commercial law has not defined the concept of agent to include franchises.
